Sec. 1. This club shall be known as the Keystone Challengers. Herein called the club.
Sec. 2. Logos.
a. The club logo shall be the Challenger outline with the words KEYSTONE CHALLENGERS underneath and the large keystone emblem in the foreground.
b. The club logo shall also be the words KEYSTONE CHALLENGERS on the top of the keystone emblem with the words EST 2009 in the top inside of the keystone emblem and a 2009 Challenger with smoking tires coming out of the keystone emblem.
Article II. Purpose.
Sec. 1. The Keystone Challengers is a group of individuals dedicated to the common love of the Dodge Challenger.
Sec. 2. The club shall share ideas, stories, and a passion for the car.
Sec. 3. To encourage family participation in such sport.
Sec. 4. To promote friendship, support organization functions held by such club, as well as others who have such interest.
Article III. Objectives.
Sec. 1. Formed in September 26, 2009 the club members participate in automobile related activities to include cruises, picnics, car shows, meetings, and additionally support other car club events.
Sec. 2. Non-Profit Status.
a. The club shall be a non-profit organization and is dedicated to charitable purposes and no part of the net include or assets of this club shall ever inure to, or cause profit to, the benefit of any officer or member thereof or to the benefit of any private persons.
Article IV. Membership.
Sec. 1. Full Club Membership.
a. Must be a legal adult and the owner of a Dodge Challenger.
b. Founding member (defined as those in attendance at the 9/26/09 and the 10/18/09 meetings)
1. Shall be considered full members
2. Do not have to pay yearly dues
3. Will be recognized by a "founding member" addition to their logo sticker.
c. Full membership is to include all immediate family members.
d. Have full voting rights within the club.
e. Must sign a release form.
Sec. 2. Associate Club Member.
a. For those enthusiasts who do not own a 2008 or newer Dodge Challenger, but do own a Chrysler Corp. made vehicle.
1. Shall include all immediate family members.
2. Have no club voting privledges.
3. Must sign a release form.
Sec. 3. Member Conduct.
a. Should be a person of good character, fellowship, and sportsmanship; an upstanding citizen with the willingness to actively participate in club activities, membership, and business meetings.
b. Have completed and submitted a club membership application and paid the appropriate dues.
c. Any club member who regularly commits unsafe driving acts or whose personal conduct is otherwise detrimental to the purposes of the club may be suspended or expelled from membership in the club. Suspension or expulsion must be accepted by a majority of the members present at a regularly monthly meeting.
d. Prior to any suspension or expulsion hearing, the person in question shall be notified by a letter of the date, time, and items to be considered at the intended hearing.
e. If found action is expulsion from the club all club logo stickers must be removed from any and all vehicles owned by said person and returned to the club.
f. All club members must sign a release form.
Sec. 4. The club is based in Pennsylvania, but membership is not limited to Pennsylvania residents.
Article V. Board Of Directors.

Sec. 2. Additional officers may be added as need occurs.
Article VI. Elections.
Sec. 1. The privilege of holding office on the board of directors shall be limited to members of the club whose dues are paid and otherwise in good standings.
Sec. 2. Nominations for officers shall be held at the November business meeting.
Sec. 3. Election of officers shall be held at the December business meeting.
Sec. 4. In the event an elected officer cannot fulfill their term of office, the board of officers shall appoint another member to fill that office until the next regular election.
Sec. 5. Officers shall serve a term of one year or until their successors are elected or appointed.
Sec. 6. The term of office for all members shall be from January 1st to December 31st of the same year.
Article VII. Duties Of Officers.
Sec. 1. Director.
a. Serves as Chairperson at all meetings. Provides continuity and coordination to all functions. Acts as Master of Ceremonies during events , presentations, etc. Must keep meetings orderly and to the point so club business will get accomplished in a timely fashion. Coordinates the Officers, Directors, and Committees of the club in order that the goals of the club will be met.
Sec. 2. Assistant Director.
a. To be aware of the duties of the Director and to serve as Chairman of meetings in the absence of the Director.
Sec. 3. Secretary.
a. Shall record the minutes of the meetings of the club, prepare copies of the minutes for distribution at the next business meeting, handle all club correspondence, keep all records and issue the notice for election of Officers. Provides copies of the club by-laws for all members. Provide an agenda for all club officers prior to monthy club meeting.
Sec. 4. Treasurer.
a. The Treasurer deposits and keeps the funds of the club in a specified bank account, makes payments from the club account as necessary and presents a written statement of the account at every business meeting of the club. Keeps such permanent books of account and records as shall be sufficient to establish the items of gross income, receipts and disbursements of the club, including specifically, the number of members and the dues collected from the members. Such books of account and records shall at all reasonable times be open to inspection be an officer of the club.
b. All monies spent for business expenses shall first be approved by a majority vote of the Board of Directors. Any monies spent must first be approved by a majority vote fo the general membership at any regularly scheduled meeting. All expenditures shall have receipt. All membership dues shall be collected by the Treasurer who shall depost said funds to the club bank account, file a written report to the membership and provide an accurate updated list to the membership director.
c. Shall turn over to the Auditor all checking account ledgers, bank statements and any other pertinent documents necessary for the completion of an audit of the clubs financial transactions and records. This official audit shall be done twice a year. The first audit shall be after the June business meeting and before the July business meeting. The second audit shall be after the December business meeting and before the January business meeting.
d. Make an annual financial report to the club which includes gross receipts and disbursements for the year.
Sec. 5. New Member Greeter.
a. Keeps a complete list of current membership and provides copies as needed for members. Provides copies of the club membership application for potential new members. Collects new member applications, do all verifications as needed and submit them to the Secretary. Provides new member packets for all new members. Coordinate with Treasurer for accurate list of due paying members. Welcome and introduce all new members and visitors to the club members at all functions.
Sec. 6. Activities Officer.
a. Be responsible for coordinating club activities (i.e car shows, cruises, social gatherings, etc.). Be the club members liason to coordinate activites of interest, bring all activites of interest to the monthly board meetings. Assign chairpersons as needed to aid in running individual activities.
Sec. 7. Website Administrator.
a. Maintain the clubs website by posting all current club information.
b. Moderate the club page for unwanted postings.
c. Bring all requests for additional posting requests to monthly board meeting for approval and concerns relating to the web page.
d. Keep the club website up and running.
Sec. 8. General Duties of all Officers.
a. During any specific activity or event that any officer is conducting, a record of all activites and an accounting of all expenditures shall be kept in detail. When the activity or event is closed, a complete report shall be filed with the club, including and income and expense statement when appropriate.
b. Upon the expiration of the term of office or in case of resignation or termination, each member of the Board of Directors shall turn over to the Director, without delay, all records, books, and other material pertaining to the office and shall return to the Treasurer, without delay, all funds and materials belonging to the club.
c. The officers shall determine if an event will be deemed an open or closed event.
d. All officers will seek ways to help build membership, create ideas, and help promote and maintain interest for and by its members.
e. All officers shall have their own agenda prepared before the monthly officers meetings.
Article XIII. Meetings.
Sec. 1. There shall be an official Board of Directors meeting once each month. The place, day, and time shall be decided by the Board of Directors.
Sec. 2. There shall be an official business meeting, open to the general membership, once each month. The place, day, and time shall be decided by the Board of Directors.
a. The Board of Directors can decide by vote that a special event may take the place of a monthly meeting.
Sec. 3. A majority of the club members present shall constitute a quorum.
Sec. 4. All business meetings shall be run according to Robert's Rules of Parliamentary Procedures.

Sec. 6. Special meetings may be called at the discretion of the Board of Directors and/or at the request of 5 or more regular members.
Article IX. Dues.
Sec. 1. Annual nonrefundable dues for continuing members shall be due and collected at the first business meeting in January of each year. Members not paying dues at that meeting will be sent a letter to remind them of their commitment. Dues not paid by March's club meeting shall be considered delinquent and said members shall be dropped from membership.
a. Full membership dues shall be $25.00 per family. Said fee shall include welcome letter, one club decal, one club t-shirt, copy of by-laws and list of current members.
b. Associate membership shall be $20.00 per family. Said fee shall include welcome letter, one club t-shirt, copy of by-laws and list of current members.
c. Anyone joining after November of any given year, the dues shall apply to the following year.
d. Additional club membership t-shirts, decal, etc. shall be available at current club costs.
Article X. Other functions and activites.
Sec. 1. If the club is asked to take part in other clubs' functions, the club should try to have at least one member represent the club.
Sec. 2. When in attendance at such functions, represent the club in a manner of respect and in such a manner as not to embarrass themselves or the club.
Article XI. By-laws Amendment Procedures.
Sec. 1. The Board of Directors may at any time, call a by-laws amendment committee for the purpose of changing or updating these laws. The proposed changes shall then be brought before the general membership for majority approval.
Sec. 2. Any current member or members may propose an amendment to these by-laws. They must provide a written petition with the proposed changes and have said petition signed by 30% of the current active membership in order for the petition to be brought before the Board of Directors for consideration. After evaluation by the Board, the proposed amendment may be brought to the general membership for consideration and vote. If the Board vetoes the 30% petition, it must then be signed by 50% of the membership and vote without Board consideration.
